RULES OF CONDUCT FOR DISTRIBUTORS

GRUPO CACAOLAT, S.L. (hereinafter “Cacaolat Group“) is committed to complying with the laws and has a Code of Conduct to ensure the integrity and professionalism of all its employees when performing their duties, conducting business and interacting with the environment.

Cacaolat Group is aware of the importance of its distributors being committed to the same principles set out in its Code of Conduct. This document outlines these principles for its distributors:

  1. Compliance with the laws and regulations in the performance of their professional activities.
  2. Maintain the highest standards of respect for Human Rights.
  3. Act in accordance with the values promoted by Cacaolat Group as set out in its Code of Conduct, with integrity, professionalism, responsibility and diligence.
  4. Ensure a lawful, ethical and respectful relationship with Cacaolat Group.
  5. Ensure a fair and impartial treatment of its employees and promote the economic development of the communities in which the Distributor operates by hiring local employees.
  6. Not to accept or offer any kind of bribes, extortion or misappropriation, or any unjustified direct or indirect advantage, in either the private or public sphere, with the aim of improperly influencing the granting of a benefit.
  7. Avoid any conflict of interest, influence or favouritism in its relations with Cacaolat Group, which shall always be governed by criteria of objectivity, transparency and impartiality.
  8. Be up to date with all tax and Social Security obligations.
  9. Respect people and promote equal opportunities, avoiding any type of discrimination based on race, colour, sex, gender, disability, sexual orientation, ideology, religion, etc. Facilitate a respectful and collaborative treatment of others.
  10. Comply with the laws in force on occupational health and safety, as well as national and international regulations in this area, including the conventions of the International Labour Organisation and the United Nations Declaration of Human Rights.
  11. Not to tolerate child labour, either directly or indirectly.
  12. Reject any form of violence, physical, sexual, psychological, moral or other harassment, abuse of authority and any other intimidating or offensive behaviour.
  13. Respect intellectual and industrial property rights.
  14. Respect the rules of competition law, promoting fair and equitable competition and prohibiting any unfair practices that affect the exercise of free competition.
  15. Take all necessary measures to prevent money laundering and irregularities in payments.
  16. Keep the confidentiality of all information provided by Cacaolat Group that is not public. The disclosure of such information to third parties without Cacaolat Group’s express prior consent is strictly prohibited.
  17. Process personal data provided by Cacaolat Group solely in accordance with the directions given by Cacaolat Group and not apply or use such data for purposes other than those legally or contractually intended for the provision of the contracted services, or for a purpose other than that for which they were collected.
  18. Respect and preserve the environment by complying with the standards established in environmental protection regulations, as well as the environmental procedures and requirements applicable in each case, minimising the environmental impact arising from its activities and from the use of Cacaolat Group’s facilities and equipment.

These rules are binding on all Cacaolat Group distributors for as long as they remain distributors of Cacaolat Group, without prejudice to any additional obligations that may be established in the laws in force and in the relevant agreement.

Failure by the distributor to comply with any of the Rules of Conduct for Distributors of Cacaolat Group may be grounds for immediate termination of the agreement, without any obligation to pay the defaulting party any financial compensation as a result of such termination, and without prejudice to compensation for any damages, including reputational damages, caused by the breach.

Likewise, Cacaolat Group requires the distributor to inform its professionals and partners of the content of this document and to notify Cacaolat Group any information it considers relevant that may indicate that a breach of the rules set forth in this document has been committed or may be committed through the Internal Information System platform located on its corporate website.
